The first steps

1

Choose legal form (GmbH / GmbH & Co. KG)

Determination of the corporate legal form. For an energy utility, the GmbH (limited liability company) or the GmbH & Co. KG (tax advantages with multiple shareholders) is recommended.

2

Articles of association with energy supply as corporate purpose

The articles of association must explicitly name 'energy supply' as the corporate purpose. Without this, the BNetzA will refuse the notification.

3

Commercial register entry + notary costs

The GmbH only legally exists upon entry in the commercial register. Before that, the managing director is personally liable (pre-GmbH).

Eight more tasks finish the legal groundwork. The account, wholesale identifiers, the notification to the regulator, the customs permit, and the market register. The order depends on itself. We go through it in the mandate.

Frequently Asked Questions about Energy Utility Formation

How much does it actually cost to set up an energy utility in Germany?

The pure formation costs for the legal foundations amount to approx. EUR 3,000-8,000 (notary, attorney, LEI code). In addition, there is the GmbH share capital of EUR 25,000 and later balancing group securities of EUR 10,000-50,000.

How long does an energy utility formation take?

Phase 1 (Legal Foundations) takes approx. 8-12 weeks. The entire process through to go-live with all 13 phases typically takes 6-12 months.

Do I need a permit from the BNetzA?

No – the BNetzA notification per Section 5 EnWG is a mandatory notification, not a permit. You may commence operations immediately after filing. However, for household customers you must demonstrate a hedging strategy per Section 5(4a) EnWG.
