Energy Law Spain – Market Entry and Comercializadora Setup

I guide German energy companies into the Spanish electricity market. From the company, through the CNMC registration, to taking part in OMIE.

Spain uses about 250 TWh a year and has a lot of renewable generation. Since the market opened in 1997 (Ley 54/1997), a foreign company can set up its own Comercializadora or buy an existing supplier.

I sit in Málaga and stay with the entry from there. In German, with tax advisors, lawyers, and people who know the CNMC.

Market Participants and Structures

Comercializadora libre mercado

Supplier in the liberalised market. Free price setting, individual end-customer contracts. Standard model for new entrants.

Comercializadora de Referencia (COR)

Regulated suppliers for small customers (consumption ≤ 10 kW). PVPC tariff. Only 8 companies in Spain.

Productor (Generator)

Own generation feeding into the Spanish grid. PV, wind, BESS. Marketed via OMIE or PPAs.

Representante de Mercado

Balancing and market representative for generators without their own OMIE/OMIP membership.

Markets and Trading Venues

  • OMIE – Iberian electricity exchange – Day-Ahead and Intraday spot market (Spain + Portugal, MIBEL).
  • OMIP – Futures market (monthly, quarterly, annual contracts) for hedging.
  • OTC – Bilateral contracts, dominated by PPAs for renewable generation.
  • Interconexión France-Spain – Cross-border capacity. Daily and continuous auctions via JAO.

Regulatory Framework

Real Decreto 1955/2000

Governs transport, distribution, supply and permitting of electrical installations. Basis for CNMC licensing.

Real Decreto 244/2019 (Autoconsumo)

Self-consumption of electrical energy – individual, collective, with or without grid feed-in. Abolition of the 'sun tax'.

Ley 24/2013 del Sector Eléctrico

Electricity Sector Act. Defines market participant categories, tariff structures, grid charges and supply obligations.

CNMC Circulares

Comisión Nacional de los Mercados y la Competencia issues rules on tariffs (peajes), market conduct, and grid use.

Taxes and Levies

  • IVA (Value Added Tax) – 21 % standard rate, reduced rates depending on current Real-Decreto-ley provisions
  • IEE (Electricity Excise Duty) – minimum EUR 1/MWh (industry) or EUR 0.5/MWh (residential)
  • Bono Social Eléctrico – social contribution invoiced monthly via the Comercializadora
  • Fondo Nacional de Eficiencia Energética – annual contributions to the energy efficiency fund

Cross-Border DE ↔ ES

Physical deliveries from Germany to Spain run via the French grid bridge. The Spanish-French cross-border capacity (Interconexión) is auctioned daily and continuously via JAO. Pure financial balancing without physical delivery is possible through OMIP contracts and virtual PPAs. I structure the contracts across the border. That includes EEG guarantees of origin, GO certificates, and the Spanish garantías de origen.
